We acknowledge that all right, title and
interest in the customer data shall be solely owned by the customer. We own
or have licensed all server software. In the event that we elect, at our
option, to provide custom software to you, this software will be licensed to
you for use only on our ShopKart Servers on a non-exclusive, royalty-free,
fully-paid basis according to the terms of this agreement. All ShopKart
themes, software solution, page code, and preload data content and images are
the sole property of NetSoft Studio and are provided to you for your use as
part of the ShopKart services during the term of your services with
NetSoft Studio. You acknowledge you may not remove the preloaded data to
use on any other service without our prior written consent. |

Supplier Catalog Content. You acknowledge that the data provided as part of the ShopKart
preloaded data is not 100% accurate and not 100% of the supplier’s product
line has been included. You also acknowledge that a supplier catalog
may be removed from our distribution at any time. Should a catalog be removed
from our distribution, it only affects new server setups and any update
capabilities. Clients with a supplier catalog already preloaded will
not be affected unless required by law. Pricing information and product
descriptions initialized in the ShopKart database are provided based upon the
available information provided to us or obtained by the supplier at the time
of their catalog preload into our master distribution. Customer should
consult with the supplier to confirm accuracy of this information based upon
their pricing agreements with such suppliers. |
